Kingsway Financial Services sells non-standard auto insurance business

Toronto, ON (July 16, 2018) – Kingsway Financial Services Inc. has announced it has entered into a definitive agreement with Premier Holdings, LLC, to sell its non-standard automobile insurance companies – Mendota Insurance Company, Mendakota Insurance Company and Mendakota Casualty Company (collectively “Mendota”) – for an aggregate purchase price equal to Mendota’s statutory surplus at June 30, 2018, expected to be finalized prior to the release of the Company’s operating results for the second quarter ended June 30, 2018.

The Company will record an estimated loss on disposal during the second quarter of 2018, primarily driven by the write-down of a $7.6million indefinite lived intangible asset related to Mendota. The transaction is expected to be completed during the third quarter of 2018 subject to the receipt of regulatory approvals.

“We are pleased to announce the signed definitive agreement with Premier Holdings, LLC,” said Larry G. Swets, Jr., Chief Executive Officer.

“This transaction will allow us to direct our focus towards, among other things, executing our stated strategy in the extended warranty segment. This strategy includes investing in organic growth at our existing businesses as well as accretive acquisitions.“We will provide additional details of our more focused strategic approach in the annual shareholder letter that we expect to send out in the next few weeks.”
